Andrew specialises in private equity, mergers and acquisitions and corporate finance transactions generally, including establishment of investment funds, public and private fund raisings, venture capital and private equity investments, takeovers, mergers, reconstructions and joint ventures.

Experience

An experienced, practical and commercial business lawyer and deal maker, highly regarded by clients and peers for his ability to make even the most complex and potentially confrontational brief clear and negotiate it through to the desired conclusion. His sound and wide ranging intellectual skills mean that he is consulted on the drafting of legislation - for example the Companies Act 2006, where he chaired working parties dealing with share capital and small and private companies, including high-level meetings with the DTI and preparing responses to consultation documents.

Has acted on numerous corporate finance transactions including:

  • Acting for City Hopper Airports (Blackpool) Limited in the acquisition of Blackpool Airport from Blackpool Borough Council and complex joint venture structures with the Council
  • £25 million disposal of IT recruitment business to a trade buyer
  • Acting in sale of aggregates business for £7 million
  • Acting for Lloyds TSB Bank plc in connection with a £30 million cross-border re-financing and on a number of transactions for the Bank’s acquisition finance team
  • Acting (either for the private equity house or for the investee company) in over 70 private equity investments, in sectors as diverse as film distribution, nanotechnology and the leisure industry
  • Acting both as legal adviser and sponsor on the launch of Foresight VCT plc
  • Acting in the establishment of two investment funds with a combined value of approximately £45 million
  • Acting for two secondaries funds in the acquisition of two portfolios of private equity investments
  • Acting for investors in a recently-established limited partnership, including advising on the carried interest structure and other issues arising out of the limited partnership agreement
  • Acting on numerous joint ventures (including several cross-border joint ventures)
