Our automotive team was established in 1995 and provides a full
commercial advice service to our clients in the automotive sector.
The work we do includes drafting distribution agreements for vehicles
and parts, advising on mergers within the sector, advising upon
manufacturing and supply arrangements between manufacturers and
first tier suppliers and thereafter down the chain of supply, outsourcing
arrangements including provision of goods and services to the OEM
assembly line, financing, property transfer, investment, commercial
disputes and consumer related issues such as on-line trading, data
protection and consumer credit licensing. Some of our recent work includes:
- preparation of over two dozen agreements for distribution of
automotives, parts and services following the new EC Commission
motor vehicle block exemption 1400/2002
- advising a first tier supplier on the provision of goods and
services by way of outsourcing to the assembly line of various
volume car manufacturers
- advising upon the pension schemes of a major first tier supplier
with a global presence
- advising buying "organisations" on the structure
of their agreements with those with whom they deal on both purchase
and sale arrangements
- advising on terms and conditions of sale, and revisions to
the Articles of Association of a major multinational first tier
supplier
- advising on the acquisition and disposal of businesses in the
automotive sector and on issues relating to business restructuring
- acting for Alliance Automotive UK Limited on its corporate
acquisitions, providing company
secretarial services for the group and advising its subsidiary,
the FSG, on its distribution group network arrangements
- advising on financing for dealerships and other businesses
in the sector including various types of stocking arrangements
- acting for and advising vehicle and component manufacturers
in a wide range of commercial disputes particularly in relation
to product liability, product recalls, claims for consequential
loss, defective production line equipment and fraud
- providing general advice to the automotive sector on employment
issues
- acting for vehicle manufacturers to enforce their trade mark
rights
