• Corporate Governance.  This includes ensuring our quoted company clients comply with the wealth of regulation that faces them, be it the Combined Code, QCA Guidelines, Listing Rules or AIM Rules.  We advise companies on convening and hosting their AGMs, and communicating with their shareholders on an ongoing basis.  We also regularly advise boards of directors on their personal legal duties and responsibilities.
• Company Law Compliance.  Whether structuring a share buyback, creating a new class of shares or making wholesale changes to a company’s constitution, we have the expertise to assist. We also offer dedicated company secretarial services for groups of companies of all sizes to ensure that the day-to-day legal formalities are complied with.
• Employee Incentives.  We help growing businesses put share schemes in place to allow them to offer tangible incentives to their management and staff.  In conjunction with our Employment team, we advise on the design and implementation of employee share structures and plans, including approved and unapproved share option schemes.
• Commercial Ventures.  Strategic joint ventures can allow businesses to exploit new geographic or product markets in partnership with other businesses or public sector bodies.  They can also present risks for the unwary.  Our expertise allows our clients to reap the benfits of their new venture, whilst having legal structures in place to ensure they are not exposing themselves to future problems.
